Sunoco LP ("Sunoco") is providing this website, sunoco.com, related websites, and mobile applications (collectively, the "Online Services") to provide general information regarding Sunoco and its corporate affiliates. By accessing or using the Online Services, you agree that you have read, understand and agree to be bound by these Terms & Conditions of Use, as amended from time to time. All amendments and updates to these Terms and Conditions of Use are effective immediately upon notice, which we may give by any means, including but not limited to, by posting notice of the revision on the Online Services homepage. If you do not wish to agree to these Terms & Conditions of Use, do not access or use any part of the Online Services.
This Website is directed only at customers in the United States. When you access this website your data will be processed and stored in the United States. If you do not agree with this transfer, please stop all use of this Website.
Sunoco reserves the right to take whatever lawful actions it may deem appropriate in response to actual or suspected violation of these Terms & Conditions of Use, including without limitation, suspending or terminating any account you have created on the Online Services.

All trademarks, logos, designs, slogans, and trade dress appearing on the Online Services, whether or not appearing in large print, italics, or with the trademark symbol, are owned by Sunoco or their affiliate companies or service providers, or are used under license. No right or license is granted, by implication or otherwise, to use any trademark, service mark or logo displayed on the Online Services or any other intellectual property rights of Sunoco or any third party.
You may not, distribute, modify, transmit, reuse, repost, or use the content of the Online Services for public or commercial purposes, including the text, images, audio, or video, without the written permission of Sunoco. You should assume that everything you see or read on the Online Services is copyrighted unless otherwise noted and may not be used, except as provided in the Terms & Conditions of Use or in the text on the Online Services, without the written permission of Sunoco. Sunoco neither warrants nor represents that your use of materials displayed on the Online Services will not infringe rights of third parties not owned by, or affiliated with, Sunoco.

Occasionally, at Sunoco's discretion, Sunoco may include or offer third-party products or services on or linked to the Online Services. These third-party sites have separate and independent privacy policies. Sunoco therefore has no responsibility or liability for the content and activities of these linked sites. Nonetheless, Sunoco seeks to protect the integrity of our site and welcome any feedback about these sites.
UPDATES TO YOUR DEVICES
Please note that if you are using downloadable applications from Sunoco, updates to your device's systems or firmware may render your use of the applications incompatible. Sunoco does not warrant that the Online Services will be compatible with any updates to, or prior versions of, your devices. Sunoco may, but is not obligated to, provide you with updates to the Online Services or applications that improve compatibility with updated mobile devices.
DATA CHARGES
To the extent that your use of the Online Services or any Sunoco application requires, or permits utilization of, wireless, cellular data, or internet access, you are independently responsible for securing the necessary data access service. For example, with respect to your mobile devices, the provider of your data plans may charge you data access fees in connection with your use of the Online Services and Sunoco applications. You are solely responsible for all such charges payable to third parties.
SOFTWARE AND DOWNLOADS
If Sunoco permits you to download or otherwise access such Online Services, the Online Services (including any data or images incorporated in or generated by the Online Services’ software) is licensed to you. You do not receive title to this software and you may not distribute or use the software other than for the purpose of using the applicable feature or service of the Online Services as offered by Sunoco. You may not modify, adapt, reverse engineer, decompile, disassemble or otherwise attempt to discover the source code of such software. Except as expressly provided, you may not create any derivative works of the software or any services available on the Online Services. This license is revocable at any time without notice and with or without cause. You agree to destroy or return to Sunoco all copies of the software upon revocation of your license to the software and/or termination of your access to the Online Services. The software is subject to all restrictions on use, disclaimers of warranties and other provisions in these Terms of Use. In the event that the software is also subject to a separate end user license agreement, the terms of such end user license agreement shall control any conflict between those terms and these Terms of Use.
ACCESS AND INTERFERENCE
You agree that you will not (a) use any robot, spider or other automatic device, process or means to access the Online Services, (b) use any manual process to monitor or copy any of the material on this site or for any other unauthorized purpose without the prior written consent of Sunoco, (c) use any device, software or routine that interferes with the proper working of the Online Services, (d) attempt to interfere with the proper working of the Online Services, (e) take any action that imposes an unreasonable or disproportionately large load on the Sunoco’ infrastructure, or (f) access, reload or "refresh"" transactional pages, or make any other request to transactional servers, more than once during any three (3) second interval.
USER REVIEWS, COMMENTS & SUBMISSIONS
Sunoco welcomes your reviews, comments, and other communications, photos, videos, or any other content that you submit through or to the Site, or any content or information you publish through any social media and allow Sunoco to feature, such as your name, social media handle, accompanying text, and any images, videos, or audio from your social media accounts (e.g. X (formerly Twitter™), Instagram™, Pinterest™) (collectively, "User Content") as long as the User Content submitted by you complies with these Terms & Conditions. User Content will not include any photographs or images you submit as part of a Transaction (as defined below). You agree that any User Content: will be accurate; will not violate or facilitate the violation of any law or regulation; will not violate any right of a third party, including copyright, trademark, privacy or publicity rights; will not cause injury to any person or entity; and will not contain, or provide links to, obscene, profane, or threatening language, malware, political campaigning, commercial solicitation, chain letters, mass mailings, any form of "spam", or any material that could be considered harmful, sexually explicit, indecent, lewd, violent, abusive, or degrading. You are solely responsible for the User Content you submit, and Sunoco assumes no liability for any User Content submitted by you. You acknowledge and agree that we reserve the right (but have no obligation) to do any or all of the following, in our sole discretion: (i) monitor User Content; (ii) alter, remove, or refuse to post or allow to be posted any User Content; and/or (iii) disclose any User Content, and the circumstances surrounding its transmission, to any third party. For any User Content you submit, you grant to Sunoco a non-exclusive, sub-licensable, fully paid-up, perpetual, irrevocable, royalty-free, transferable right and license to use, display, perform, transmit, copy, modify, delete, adapt, publish, translate, create derivative works from, sell and distribute such User Content and to incorporate the User Content into any form, medium, or technology, now known or hereafter developed, throughout the world, including but not limited to non-digital media and advertising channels, such as in-store marketing, all without compensation to you. For this reason, do not send us any User Content that you do not wish to license to us, including any confidential information or any original creative materials such as stories, product ideas, computer code or original artwork. In addition, you grant to Sunoco the right to include the name provided along with the User Content submitted by you; provided, however, Sunoco shall have no obligation to include such name with such User Content. We are not responsible for the use or disclosure of any personal information that you voluntarily disclose in connection with any User Content you submit. You represent and warrant that you have all rights necessary for you to grant the licenses granted in this section, including but not limited to permission from or on behalf of any individuals that appear in the User Content to use, and grant to third parties such as Sunoco the right to use, their name, image, voice and/or likeness without compensation to you or any other person or entity. You further irrevocably waive any "moral rights" or other rights with respect to attribution of authorship or integrity of materials regarding User Content that you may have under any applicable law under any legal theory.
Content is also provided by third party visitors to the Site. Please note that Site visitors may post content that is inaccurate, misleading, or deceptive. Sunoco neither endorses nor is responsible for any opinion, advice, information, or statements made by third parties. The opinions expressed by third parties reflect solely the opinions of the individuals who submitted such opinions and may not reflect the opinions of Sunoco.
INDEMNIFICATION
You agree to indemnify and hold harmless Sunoco and its shareholders, partners, affiliates, directors, officers, subsidiaries, employees, agents, suppliers, third party information providers, licensors, licensees, distributors, contractors and others involved in the Online Services or the delivery of products, services or information over the Online Services, from and against any and all liabilities, expenses, damages and costs, including reasonable attorney's fees, arising from any violation by you of these Terms of Use or your use of any products, services or information obtained from the Online Services.
APPLICABLE LAW
These Terms & Conditions of Use shall be governed in all respects by and construed in accordance with the laws of the State of Texas, without regard to its conflicts of law principles. You hereby consent to the exclusive jurisdiction of the state and federal courts located in or near Dallas, Texas with respect to any action arising in connection with the Online Services

MATERIAL TERMS & CONDITIONS
Please verify that the part and description match. If they do not, you must E-MAIL the buyer for clarification.
No substitutions or back orders are permitted without specific written approval from the buyer.
No additional fees, charges, or services are permitted without written approval.
All shipping must be at a "GROUND" rate. Air Freight, whether "Next Day Air" or "2nd Day Air" will be charged back to the vendor unless vendor is in prior receipt of a written authorization by the Sunoco Procurement Analyst.
This is a "LUMP SUM" Purchase Order.
Additional Term and Conditions on quote presented by Vendor are SUPERCEDED by the Vendor Agreement on file with Sunoco.
PURCHASING TERMS & CONDITIONS
General Terms & Conditions (Standard Procurement) — These terms and conditions are applicable to all product purchases other than engineered equipment.
General Terms & Conditions (Professional Services) — These terms and conditions are applicable when purchasing professional services.
General Terms & Conditions (Field Services)— These terms and conditions are applicable to the purchase of all services, other than professional services, to be performed on-site.
General Terms & Conditions (Field Services + Product) — These terms and conditions are applicable when purchasing both on-site services and products in the same transaction.
General Terms & Conditions (Engineered Equipment)— These terms and conditions are to be utilized when purchasing engineered equipment.
All business agreements can only be selected through coordination with the Sunoco Procurement Buyer. Please contact your Sunoco requisitioner or the Sunoco Procurement team for more information.
GOVERNANCE DOCUMENTS
Code of Business Conduct and Ethics — The Board of Directors (the “Board”) of Sunoco GP LLC (the “Company”) has adopted this Code of Business Conduct and Ethics (this “Code”) and has adopted a number of policies dealing with business conduct and ethics of the Company, “Sunoco LP,” and the Partnership’s subsidiaries (collectively, the “Partnership Group”). All employees of the Partnership must adhere to the Code of Business Conduct and Ethics.
